Terms of Service – Strategic Workflow Engineering

Service Scope & Deliverables

All engagements are defined by a Statement of Work (SOW) referencing the Service Level Agreement (SLA) and acceptance criteria. Deliverables include process documentation (BPMN 2.0 diagrams, SOPs), automated workflow code (with version control), and testing artifacts.

• Client provides necessary access to systems and personnel.
• Changes to SOW require written change order; additional fees may apply.
• Acceptance period: 10 business days from delivery, else deemed accepted.

Payment & Cancellation

Invoices are net-15; overdue accounts incur 1.5% monthly interest. Either party may terminate for material breach with 30 days cure period. Termination for convenience requires 60 days notice and payment for work completed.

Intellectual Property & Confidentiality

Pre-existing IP remains with respective owners. Deliverables IP vests upon final payment. NDA governs all exchanges. Neither party may disclose confidential information for 5 years after engagement.

Limitation of Liability & Governing Law

Liability is capped at fees paid in prior 12 months. Not applicable for IP infringement, fraud, or death/injury. Disputes resolved by binding arbitration in Travis County, TX under AAA rules. This agreement supersedes all prior communications.
